1. Not professional advice
Coaching offered through the Platform is educational, motivational and developmental in nature. It is not medical care, psychotherapy, counselling, psychiatric treatment, addiction treatment, crisis intervention, legal advice, tax advice, accounting advice, or investment advice, and it does not create a doctor-patient, therapist-client, attorney-client or fiduciary relationship.
2. Emergencies
Coaches are not emergency responders and do not monitor messages continuously. If you are in crisis or experiencing a medical or psychiatric emergency, call your local emergency number or go to the nearest emergency department immediately.
3. No guarantee of results
Coaching outcomes depend on many factors outside anyone's control, including your effort, circumstances and market conditions. No Coach and no statement on the Platform — including testimonials, case studies or example figures — is a promise, projection or guarantee of any specific personal, professional, health, or financial result.
4. Assumption of risk
You voluntarily choose to participate in coaching and assume all risks associated with it, including emotional discomfort, disappointment, business risk and financial loss. You are solely responsible for your decisions and actions before, during and after any session, and for consulting a qualified licensed professional where your situation warrants it.
5. Independent practitioners
Coaches are independent businesses. Mindlab Coaches does not verify every credential, does not supervise sessions, and disclaims all liability for the acts and omissions of any Coach or Client to the fullest extent permitted by law.
6. Recording and confidentiality
Do not record a session without the other party's express consent; recording laws vary and violations may be criminal. Coaches and Clients are each responsible for keeping session content confidential. Platform messaging is not designed for protected health information.
7. Coach performance, expectations and results
You acknowledge that Emergent Mindlab, LLC d/b/a Mindlab Coaches is a neutral technology venue and is not a party to, guarantor of, or participant in any coaching engagement. We do not select, direct, supervise, evaluate or control any Coach's methods, scheduling, advice, competence or conduct.
We make no representation as to the quality, effectiveness, timeliness, suitability or outcome of any coaching engagement, and we expressly disclaim liability for any Coach's performance, non-performance, delay, abandonment of an engagement, or failure to meet your expectations, stated goals, milestones or projected results. Any expectation you form about results is your own and is not endorsed, adopted or warranted by us.
You agree to defend, indemnify and hold harmless Mindlab Coaches and its affiliates, officers, directors, members, employees, contractors and agents from any claim, loss, liability, fine, judgment, settlement or expense (including reasonable attorneys' fees and expert costs) arising out of or related to coaching performance, results, expectations, or reliance on any advice or content received through the Platform.
8. Client–Coach disputes
Any dispute, disagreement, claim or controversy between a Client and a Coach — including as to scope of work, quality, refunds outside our published policy, conduct, confidentiality, intellectual property, off-platform arrangements, or personal injury — is solely between those parties.
You release Mindlab Coaches and its affiliates from all claims and damages of every kind, known and unknown, arising out of or connected with any such dispute, and you agree to indemnify and hold us harmless from any claim brought by or on behalf of the other party or any third party in connection with it. Any escrow release, refund, credit or mediation decision we make is an administrative convenience made in our sole discretion and is not an adjudication of fault, an assumption of liability, or a waiver of these protections.
9. Unethical, unlawful or harmful conduct
Coaches and Clients are independently responsible for their own conduct, including compliance with professional ethics codes, licensing rules, confidentiality obligations, anti-discrimination and anti-harassment law, safeguarding requirements for minors and vulnerable persons, and all applicable laws.
Mindlab Coaches does not supervise sessions, does not verify every credential, award or certification, and is not liable for any act or omission of a user, including negligence, misrepresentation, fraud, boundary violations, harassment, abuse, discrimination, breach of confidentiality, misuse of your data, or criminal conduct. You agree to indemnify and hold us harmless from any claim arising out of your conduct or the conduct of any user with whom you engage, and we may suspend or remove any account at any time to protect users or the Platform.
10. Future circumstances and changed conditions
You accept that coaching outcomes are affected by circumstances that may arise after an engagement begins and that no party can foresee or control, including changes in your health, employment, family, finances, market or regulatory conditions, and events of force majeure such as natural disasters, epidemics, war, civil unrest, labour action, utility, network, calendar-provider, payment-processor or other third-party service failures.
Mindlab Coaches is not liable for any loss, delay, cancellation, missed session or damage caused by such circumstances, and these disclaimers, releases and indemnities apply to claims arising from future, contingent, unforeseen or presently unknown facts to the fullest extent permitted by law. Sections 7 through 10 survive termination of your account.
